Greenbird Capital LLC (the “Firm”) has created a Business Continuity Plan (“BCP”) that provides for the Firm to continue or resume serving its customers within a reasonable time, given the scope and severity of a significant business disruption (“SBD”).

The BCP addresses both internal and external SBDs. An internal SBD, such as the loss of the Firm's office, affects only the Firm. Because the Firm's systems are cloud-based and its telephone service is internet-based, the Firm will respond to an internal SBD by continuing operations from another location using those systems.

An external SBD, such as a regional power outage or flood, affects multiple businesses and can be local, regional, national, or global. The Firm's response to an external SBD relies more heavily on other organizations, such as its clearing firm, Axos Clearing LLC, and the issuers of the products it offers. The Firm expects to resume operations within a reasonable time, depending on the scope of the SBD and the recovery of those organizations.

Your brokerage account is carried by Axos Clearing LLC. If you cannot reach the Firm during an SBD, you may contact Axos Clearing LLC directly at the number above for access to the funds and securities in your account, including cash disbursements and securities transfers.

If you invested in a private placement through the Firm, your interest is recorded with the issuer or its fund administrator, and subscription funds awaiting an offering's closing are held by the offering's escrow agent. If you cannot reach the Firm, you may contact the issuer, fund administrator, or escrow agent named in your offering documents for information about, and access to, your investment.

If the Firm ceases to conduct business, the funds and securities in your brokerage account remain at Axos Clearing LLC and are not affected by the Firm's closure. You may continue to access them through Axos Clearing LLC and may transfer your account to another broker-dealer.

No contingency plan can eliminate all risk of service interruption or temporarily impeded account access. The Firm reviews its BCP at least annually and updates it for any material change to its operations, structure, business, or location.
